This agreement is between the User of the web-site (hereinafter referred to as “User”) and the Company, NadiaGulf (hereinafter referred to as “Licensor”). The User must carefully read and agree to the following terms and conditions, including any future amendments (hereinafter collectively referred to as the "Terms & Conditions") before using the web-site www.nadiagulf.com (hereinafter referred to as “web-site”). The User hereby agrees and undertakes to be bound by the terms of use which are recorded hereinbelow:
1. The Terms and Conditions hereby incorporated represent the complete agreement between the User and the Licensor, for the use of and access to the services and/or contents of the website.
2. License: Licensor hereby grants to User a non-exclusive, limited license to use and access the content and services as set forth in this agreement. This agreement shall not confer any third party rights or benefits.
3. Age Limit: The User must be of eighteen years old. The Licensor reserves the right to refuse registration to any person at any point of time without giving any prior notice, and without assigning any reason whatsoever.
4. Payments: User hereby agrees that the services once subscribed to by the User is not refundable. The User hereby agrees that payments for the services offered by the Licensor shall be on a 100% advance basis. The Licensor undertakes that all Laws of U.A.E specifically regulating electronic transactions and commerce have been complied with.
5. Scope of License: The Licensor grants User a limited license to access and make personal use of the website. The website or any portion of the site may not be reproduced, duplicated, copied, sold, resold, visited or otherwise exploited for any public or commercial purpose without the express written consent of the Licensor. The rights under license does not include any collection and use of any product listings, descriptions or prices, any downloading or copying of account information for commercial purposes or for the benefit of a competitor. Licensor merely provides a platform to access the content posted by the Users by using the services of the web-site. The Users are expected to take necessary precautions and comply with various provisions of laws while uploading any contents on the web-site. The User while operating the website shall be solely responsible for maintaining the confidentiality of his account and password. The User shall be solely responsible for all activities happening under his/her Username whether authorized or not and Licensor shall be entitled to take appropriate action in terms of this agreement and prevalent laws of United Arab Emirates.
6. Intellectual Property Rights: All Licensor trade names, trademarks, logos, domain names are the exclusive property of the Licensor and the User shall not use the same without the prior written permission of Licensor. The contents of the web-site including but not limited to text, graphics, images, logos, button icons, software and other contents as well as compilation of contents are property of Licensor and are protected under both U.A.E and International copyright, trademark and other laws. Unauthorized use of such content will be violation of copyright, trademark and other intellectual property rights of the Licensor and the offender liable for punishment and damages under laws of U.A.E
7. Security Rules: The Users are prohibited from violating or attempting to violate the security of web-site, including, without limitation the following activities: (a) accessing data not intended for such User or logging into a server or account which the User is not authorized to access; (b) attempting to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization; (c) attempting to interfere with service to any User, host or network, including, without limitation, via means of submitting a virus to web-site, overloading, "flooding", "spamming", "mail bombing" or "crashing"; or (d) forging any TCP/IP packet header or any part of the header information in any e-mail or newsgroup posting. Violations of system or network security may result in civil or criminal liability prevalent under laws of U.A.E. The Licensor will investigate occurrences which may involve such violations and may involve, and cooperate with, law enforcement authorities in prosecuting Users who are involved in such violations
8. Warranties by User: The User agrees and undertakes that he shall use the website in accordance with all laws, rules and regulations applicable in United Arab Emirates, and further agrees and undertakes not to use the right granted under license for transmitting, distributing, storing or destroying material or information, which is defamatory, obscene, threatening, abusive or hateful. The User agrees and undertakes not to post any material or information, which is offensive, harmful, inaccurate, have pornographic content or content which infringes on the Intellectual Property Rights of any third party or any rights of publicity or privacy, and/or contains any viruses, trojan horses, trap doors, back doors, easter eggs, worms, time bombs, cancelbots or other computer programmes that are intended to damage or interfere or intercept with any system or information available on the website. The contents of specific postings made by the User are the responsibility of the User who makes such postings. The Users are therefore expected to take necessary precautions and comply with various provisions of laws while uploading any contents on the web-site.The User agrees and undertakes that all data uploaded on the website becomes the exclusive property of Licensor and the User consents to the information/data being included in the searchable database of website or any other ancillary website maintained by Licensor.The User also undertakes to release the Licensor, its agents and employees, in the event of a dispute with one or more user, from claims, demands and damages (actual and consequential, direct and indirect) of every kind and nature arising out of or in anyway connected with such disputes.
9. Limitation of Liabilities by Licensor: Licensor does not represent or guarantee the truthfulness, accuracy, or reliability of any posting(s) posted by the Users, the ability of employers to offer job opportunities to candidates or the ability of candidates to fill job openings or any other User Content. The Licensor further makes no representations about any jobs, resumes or User Content on the web-site. The Users are therefore cautioned to use common sense and proper judgment in this regard. Licensor is not involved in the actual transaction between employers and candidates/users. Any reliance on the content posted by other Users using the web-site shall be entirely at the risk of the User. User assumes all risks, including but not limited to the risk of physical harm, of dealing with strangers, foreign nationals, underage persons or people acting under false identities. Licensor neither guarantees nor offers any warranty and expressly disclaims any liability about the credentials, bonafides, status or otherwise of the prospective employer/organization which downloads the resume or information/data and uses it to contact the User, and a consequent act, deed or thing done by User. Licensor shall not be liable or responsible in any manner whatsoever for deletion and/or failure to transmit or store any postings posted by the User by using the services herein or personal information provided by the User.
10. Disclaimer of Warranties: Licensor does not warrant that web-site will operate without any technical error and/or is free from any computer viruses or other harmful mechanisms. The Licensor shall not be liable in any manner whatsoever for any consequences, claims, damages, costs etc. arising out of any of the above-said reasons or due to any force majeure factors and/or due to any reasons beyond the control of Licensor. The Licensor to the fullest extent permitted by law, disclaims all warranties, whether express or implied, including the warranty of merchantability, fitness for particular purpose and non-infringement. The Licensor makes no warranties about the accuracy, reliability, completeness, or timeliness of the content, services, software, text, graphics, and links used on the web-site.
11. Termination: Licensor reserves the right to modify, suspend, cancel, discontinue or terminate the Services of the web-site or reject any/ or all entries at their absolute discretion without giving any prior notice and without assigning any reason whatsoever and without any liability to the User.
12. Indemnity: The User agrees to indemnify Licensor and its directors, employees and agents against any third party claim, action, suit or proceeding resulting from his use of the services herein or arising out of the content submitted, posted, transmitted or otherwise made available by the User while using the web-site, or use of the web-site by the User in violation of these terms & conditions or violation of any third party rights by the User.
13. Amendment and Waiver: Licensor reserves the right, in its sole discretion, to amend or revise the terms & conditions, without prior notice and the User agrees to be bound by such amendments or revisions.
